 Sutlej Textiles and Industries Limited (Sutlej Textiles) announces results of Postal Ballot regarding Ordinary Resolution for Capitalisation Of Reserves And Issue Of Bonus Shares:- 

Sutlej Textiles and Industries Ltd. (Sutlej Textiles) today announced the result of the Postal Ballot on Ordinary Resolution for capitalisation of reserves and issue of Bonus Shares, through a Postal Ballot, under provisions of the Companies Act, 1956.

The Postal Ballot was conducted for the above business pursuant to Section 192A of the Companies Act, 1956 read with the Companies (Passing of Resolution by Postal Ballot) Rules, 2001. 

Sutlej Textiles had sent a notice dated 8th May, 2013 to the members of the company for seeking their approval through Postal Ballot, for an Ordinary Resolution for issue of Bonus Shares in the ratio of 1 (One) Bonus Equity Share for every 2 (Two) existing shares; subject to approval by the Shareholders of the Company and other Statutory Approvals as may be required, by capitalizing a sumnot exceeding Rs. 5,46,09,540/- (Rupees Five Crore Fortysix Lakhs Nine Thousand Five Hundred Forty Only) from the Capital Reserve, General Reserve and/or Profit & Loss Account, as may be decided by the Board of Directors (as per the Audited Accounts of the Company for the financial year ended 31st March 2013) and applying the said sum in paying up in full for issue of up to 54,60,954 Equity Shares of Rs. 10 each to the Members of the Company, in proportion of One (1) Bonus Equity Share of Rs. 10 each for every Two (2) Fully paid-up Equity Shares of Rs. 10 each held by them.  

The last date for receipt of postal ballots was June 15, 2013  

All Ballots as received by designated Post Office have been received by the Scrutinizer for scrutiny. Based on the scruitinizers report, the result of the postal ballot is as under:  

Out of total 171 postal ballots received by the scrutinizer, 164 postal ballots w ere valid and 7 postal ballots were invalid. Based on the Report of the Scrutinizer, Ordinary Resolution for capitalisation of reserves and issue of Bonus Shares, through a Postal Ballot, under provisions of the Companies Act, 1956 was passed with 66.29 Percent votes (72,40,313 votes) in favour of the resolution and 1.30 per cent (1,42,018 votes) against the resolution.  

The aforesaid resolution is therefore, deemed to be approved by the shareholders of the Company, as an ‘Ordinary Resolution with the appropriate majority.
